Subscription Agreement (Terms of Service)

1. Agreement scope

These terms govern your use of the Coursebricks Ltd Service. By subscribing you accept these terms. If you act on behalf of a company, you confirm authority to bind that company.

2. Access & use

We grant a non-exclusive right to access the Service during the subscription. You are responsible for your Users’ compliance and for maintaining account security.

3. Fees & payment

Subscription fees are payable in advance and are non-refundable unless agreed otherwise. Late payments may lead to suspension.

4. Customer data

You retain ownership of Customer Data. We act as Data Processor and will follow the DPA.

5. Confidentiality

Both parties will keep confidential information secure and not disclose unless required by law.

6. Intellectual property

All IP in the Service belongs to Coursebricks Ltd or its licensors. No rights are transferred to the Customer.

7. Warranties & disclaimers

The Service is provided "AS IS" except where express warranties are given in writing.

8. Liability

Our liability is limited to direct damages up to the fees paid in the previous 12 months. We are not liable for indirect or consequential losses.

9. Term & termination

The Agreement remains for the subscription term. Either party may terminate for material breach not cured within 30 days. Customer Data will be available for export for 30 days after termination.

10. Governing law

This Agreement is governed by the laws of England & Wales.
